These Terms of Service ("Terms") form a binding agreement between you and RoleRoot ("RoleRoot", "we", "our", or "us") and govern your access to and use of the website https://example.com (the "Site"), our recruitment, talent‑sourcing, headhunting, candidate vetting, and related professional services (collectively, the "Services").

By accessing the Site, submitting an application, submitting a hiring brief, or otherwise engaging the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.


1. Eligibility

You represent that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are acting on behalf of a company or other legal entity (a "Partner"), you represent that you have authority to bind that entity to these Terms.

2. Nature of the Services

RoleRoot operates as an independent recruitment and talent‑sourcing intermediary. We introduce candidates ("Candidates") to Partners; we do not act as an employer, employment agency of record, staffing company, professional employer organisation, or co‑employer in respect of any Candidate placed with a Partner unless expressly agreed in a separate written contract.

The decision to interview, hire, contract with, compensate, manage, supervise, retain, or terminate any Candidate is made solely and exclusively by the Partner. RoleRoot is not a party to any employment or service agreement entered into between a Partner and a Candidate.

3. No Guarantee of Outcomes

You acknowledge and agree that RoleRoot:

  • Makes no guarantee, warranty, or representation that any Candidate introduced will be hired, retained, perform satisfactorily, generate revenue, achieve sales targets, complete a probationary period, or remain in role for any specific duration.
  • Makes no guarantee that any vacancy will be filled within a specific timeframe.
  • Makes no representation as to a Candidate's character beyond reasonable, lawful screening; the Partner remains responsible for its own background checks, right‑to‑work verification, reference checks, drug testing, certification verification, and any regulated‑industry compliance.
  • Provides Candidate profiles, voice notes, CVs and feedback "as is" and based on information supplied by Candidates and reasonably‑available public sources.

4. Limitation of Liability

To the maximum extent permitted by law, in no event shall RoleRoot, its officers, directors, employees, agents, affiliates, subcontractors, or licensors be liable to you or any third party for:

  • any indirect, incidental, special, consequential, exemplary or punitive damages;
  • any loss of profits, revenue, business, goodwill, opportunity, anticipated savings, data, or reputation;
  • any damages arising out of or related to a Candidate's acts, omissions, performance, misconduct, dishonesty, negligence, or breach of any agreement with a Partner, whether occurring before, during or after placement;
  • any damages arising from a Partner's hiring, management, supervision, or termination decisions;
  • any damages caused by third‑party services, downtime, or force majeure events.

RoleRoot's aggregate liability for any and all claims arising out of or relating to these Terms or the Services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total fees actually paid by the Partner to RoleRoot during the three (3) months preceding the event giving rise to the claim, or USD 100 for users of the Site who are not paying Partners.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

5. Indemnification

You agree to defend, indemnify and hold harmless RoleRoot and its officers, directors, employees, agents, affiliates, subcontractors and licensors from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, judgments, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) your access to or use of the Site or Services; (b) any breach by you of these Terms or of any applicable law; (c) any claim by a Candidate, Partner, employee, contractor, or third party in connection with your hiring, employment, supervision, management, compensation, or termination decisions; (d) any content you submit (including hiring briefs, feedback, voice notes, and résumés); and (e) any infringement by you of any intellectual property, privacy or other right of a third party.

6. Candidate Submissions & Confidentiality

If you are a Candidate, you grant RoleRoot a non‑exclusive, worldwide, royalty‑free licence to store, process, summarise and present your professional information to relevant Partners for the purpose of recruitment, in accordance with our Privacy Policy. You warrant that all information you provide is accurate, current and lawfully shared.

If you are a Partner, all Candidate information disclosed to you is strictly confidential and may be used solely to evaluate the Candidate for the specific role disclosed. Soliciting, approaching, hiring or engaging any Candidate introduced by RoleRoot outside the agreed engagement triggers the placement fee specified in your engagement contract (or, absent one, our then‑current standard fee), regardless of which entity within your group ultimately engages the Candidate.

7. Fees & Payment

Fees, retainers and payment terms are governed by the separate written engagement contract between RoleRoot and the Partner. In the absence of such a contract, our then‑current standard fee schedule applies. Invoices are payable within fourteen (14) days; overdue amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs.

8. Acceptable Use

You agree not to: (i) reverse engineer, scrape, or attempt to gain unauthorised access to the Site; (ii) submit false, misleading or fraudulent information; (iii) introduce viruses, malware, or any harmful code; (iv) interfere with the security or integrity of the Site; (v) use the Services to discriminate unlawfully; (vi) impersonate any person or entity; or (vii) use the Services in violation of any applicable law.

9. Intellectual Property

The Site, its design, code, content, branding, search methodology, candidate database, scoring logic, and all related materials are the exclusive property of RoleRoot or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title or interest in such materials except the limited right to use the Site and Services in accordance with these Terms.

10. Third‑Party Services & Links

The Site may contain links to third‑party websites or services. RoleRoot does not endorse and is not responsible for the content, privacy practices, or terms of any third party. Your use of third‑party services is at your own risk.

11. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including suspected breach of these Terms. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, Confidentiality, and Intellectual Property) shall survive.

12. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non‑infringement, and any warranties arising out of course of dealing or usage of trade. RoleRoot does not warrant that the Site will be uninterrupted, secure, or error‑free, or that defects will be corrected.

13. Governing Law & Jurisdiction

These Terms and any non‑contractual obligations arising out of them are governed by the laws of the jurisdiction in which RoleRoot is established, without regard to its conflict‑of‑laws principles. The competent courts of that jurisdiction shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except that RoleRoot may seek injunctive or equitable relief in any court of competent jurisdiction.

14. Force Majeure

RoleRoot shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, epidemic, pandemic, governmental action, labour dispute, internet or telecommunications failure, or third‑party service outage.

15. Changes to these Terms

We may modify these Terms at any time by posting an updated version on the Site. Continued use of the Site or Services after such posting constitutes acceptance. If you do not agree with the updated Terms, you must stop using the Site and Services.

16. Entire Agreement; Severability; Waiver

These Terms (together with the Privacy Policy and any signed engagement contract) constitute the entire agreement between you and RoleRoot. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce any provision is not a waiver of future enforcement.
